Tranquil Aura Device Rental Programme – Terms & Conditions (UK)

These Terms & Conditions (“Rental Terms”) govern your participation in the Tranquil Aura Device Rental Programme (“Programme”), offered by TechSilver Ltd, a company registered in England and Wales (company number 09336833, VAT number 288 9763 19), whose registered office is at Sir Colin Campbell Building, Triumph Road, Nottingham, NG7 2TU, trading as “Tranquil” (“Tranquil,” “we,” “our,” “us”). By enrolling in the Programme, you agree to these Rental Terms, which are a binding agreement between you and Tranquil.

The Tranquil Aura Device (“Device”) is designed to assist individuals with dementia and their carers. The Device is not a medical device and should not be relied upon as the sole method of monitoring or ensuring safety.

These Rental Terms are subject to and incorporated into Tranquil’s Terms of Use. By signing or accepting these Rental Terms, you agree to both these Rental Terms and Tranquil’s Terms of Use. Nothing in these Rental Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or other applicable UK consumer protection law.

Purchase Option at End of Rental

No automatic purchase option. A purchase option may be offered at Tranquil’s sole discretion, at a price to be determined by Tranquil at that time.

Standards for Wear and Tear

Normal wear and tear means minor cosmetic marks or superficial scratches from ordinary use that do not affect the Device’s operation or safety. Any functional damage, missing parts, or excessive wear may result in repair or replacement charges. A full description is provided in these Rental Terms.

Cancellation Rights

You have a statutory right to cancel within 14 days of delivery under the Consumer Contracts Regulations 2013, and an enhanced 30-day money-back trial under Section 11 below.

Security Deposit

No security deposit is required for this rental.

Non-Payment

If a payment is unsuccessful, Tranquil will notify you and attempt to contact you using the latest contact details you have provided. If payment is still not received after a notice period of 5 (five) days, Tranquil may remotely disable non-emergency functions of the Device until payment is received and the account is up to date.

2. Start of Term

The subscription term begins when your Tranquil Aura Device is delivered to you (the “Delivery Date”). Billing also commences on the Delivery Date. Delivery is considered complete when the shipping carrier confirms delivery to your provided address.

3. Commitment and Cancellation

The Programme is a rental subscription with no minimum term beyond the current billing cycle. You may request cancellation at any time by notifying Tranquil through our official cancellation process.

A subscription is not considered cancelled until the Device and all included accessories are returned to and received by Tranquil in accordance with the Returns section. Until the Device is returned, billing will continue, and you remain responsible for all subscription fees, VAT, and other applicable charges, subject to your statutory cancellation rights described in Section 11.

4. No Ownership Transfer

This Programme is a rental subscription, not a purchase or rent-to-own agreement. Subscription payments do not transfer ownership of the Device to you. Even if you pay an amount equal to or greater than the retail value of the Device through subscription fees, the Device remains the property of Tranquil. At Tranquil’s sole discretion, an option to buy the Device may be offered separately, but unless such an offer is made and accepted in writing, you have no right to purchase or keep the Device.

If a purchase option is offered, the purchase price will be set by Tranquil at the time of the offer and provided to you in writing.

5. Billing and Auto-Renewal

Billing cycles are six-monthly or quarterly, as selected during sign-up. Monthly and annual rental billing are not offered.

You will be billed in advance for each cycle.

Your subscription will automatically renew for the same billing cycle unless you cancel by notifying Tranquil through our official cancellation process before your current cycle ends.

If you return the Device or terminate your subscription before the end of your current billing cycle, you remain responsible for payment of the full subscription amount for that entire cycle. No refunds or proration will be provided for unused portions of the cycle, except as required by law or under the 30-day money-back trial policy in Section 11.

Subscription fees are non-refundable except as required by law or under the 30-day money-back trial policy.

You authorise Tranquil to charge your chosen payment method for all applicable subscription fees, VAT, and other charges under these Rental Terms, including but not limited to charges for repairs, replacement costs for lost or stolen Devices, fees for unreturned accessories, and any other amounts owed in connection with your participation in the Programme. By enrolling in the Programme, you agree that Tranquil may process such charges automatically without additional notice, using the payment method on file.

5A. Payment Schedule

First Payment: Your first subscription payment is due and payable on the date you enrol in the Programme (“Subscription Date”) and prior to shipment of the Device.

Subsequent Payments: Your subsequent subscription payments will be automatically charged to your payment method on file in advance of each billing period, according to the plan you select:

  • Six-monthly Plan: The next payment will be due six (6) months from the Subscription Date and on that same calendar day every six months thereafter.
  • Quarterly Plan: The next payment will be due three (3) months from the Subscription Date and on that same calendar day every three months thereafter.

Minimum Term Charges: If you cancel before the end of your current billing cycle, you remain responsible for the full amount of that cycle’s subscription fee; no refunds or prorated credits will be issued, except as required by law or under the 30-day money-back trial policy.

Auto-Renewal: Unless you cancel in accordance with these Rental Terms, your subscription will automatically renew at the end of each billing cycle for the same duration and at the then-current subscription fee.

The table below shows the minimum rental cost for each billing plan and your ongoing periodic payment amounts thereafter. All amounts are shown in pounds sterling (GBP). See Section 6 for VAT treatment.

6. Taxes and Fees

The Device is a form of GPS tracker designed for use by people with dementia and may qualify for VAT relief for chronically sick or disabled people under UK law. Where a customer qualifies for this relief, subscription fees are charged VAT-free at the prices stated in these Rental Terms. Where a customer does not qualify, VAT will be added to the stated prices at the applicable rate. Eligibility for VAT relief must be confirmed by the customer at the time of purchase; Tranquil is not responsible for verifying eligibility beyond the declaration provided at checkout. You are responsible for paying all applicable taxes and fees related to your subscription.

No security deposit is required for participation in this Programme.

7. Warranty and Replacements

While your subscription is active, Tranquil warrants the Device against defects in materials and workmanship under normal use, in addition to any rights you have under the Consumer Rights Act 2015.

Covered: Defects in materials or manufacturing during active subscription.

Not Covered: Accidental damage, misuse, neglect, unauthorised repairs or modifications, or damage beyond normal wear and tear.

Replacements: Replacement Devices may be new or refurbished in good working order and may have minor cosmetic wear.

8. Care, Loss, and Damage

You agree to handle the Device with reasonable care. Minor cosmetic wear is acceptable.

Normal Wear and Tear: Normal wear and tear means minor cosmetic marks or superficial scratches from ordinary use that do not affect the Device’s operation or safety.

Any damage affecting performance, functionality, or structural integrity — including but not limited to cracks, deep scratching, broken parts, water damage, corrosion, or missing/removal of components — is not considered normal wear and tear and may result in repair or replacement charges.

Chargeable Damage: Examples of chargeable damage include (but are not limited to) cracked or shattered device screens, missing bezel/HR monitor, broken casing, water damage, missing charging docks, cables, plugs, or keyrings/lanyards, or installation of non-original parts or unauthorised modifications.

Loss or Theft: If the Device is lost or stolen, you must notify Tranquil within 48 hours. You may be charged up to the full replacement value of the Device and any unreturned accessories.

Return Condition: The Device must be returned clean, in good working order, and with all original accessories. Missing accessories will be charged at the replacement rates specified in these Rental Terms or provided to you in writing.

Modification Restrictions: You must not modify, repair, or disassemble the Device or any of its accessories, or install non-original parts.

Reporting Requirement: You must report any defects or significant damage to Tranquil before returning the Device. If unreported damage or defects are found upon return, Tranquil may charge repair or replacement fees.

Authorisation of Charges: By enrolling in the Programme, you authorise Tranquil to charge your payment method on file for any applicable repair, replacement, or accessory fees described in this section.

9. Included Items

All items provided with the Device — including the charging dock, keyring/lanyard, charging cable, plug, and documentation — must be returned at the end of your subscription. Missing items may result in additional charges equal to their replacement cost.

10. Returns

When you wish to cancel your subscription, you are required to return the Tranquil Aura Device and all accessories to Tranquil:

Cancellation: Your subscription will not be considered cancelled until the Device and all included accessories have been returned to and received by Tranquil. You are responsible for ensuring the items are sent back to Tranquil.

Termination: If your subscription is terminated by Tranquil (for example, due to non-payment or breach of these Rental Terms), your right to use the Device ends immediately, and you must return the Device and all included accessories within seven (7) days of the termination notice.

Return Packaging: Use the original packaging where possible.

Non-Return: Failure to return the Device and accessories within the required period may result in charges up to the full replacement value, in addition to any other fees specified in these Rental Terms.

11. Cancellation Rights

Statutory Cooling-Off Period: If you entered into this Agreement online, by phone, or by other means of distance selling, you have a statutory right to cancel within 14 days of the Delivery Date under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, without giving any reason. To exercise this right, notify Tranquil through our official cancellation process before the 14-day period expires. If you cancel under this statutory right, you will receive a full refund of subscription fees paid, subject to a deduction for any diminished value of the Device resulting from handling beyond what is necessary to establish its nature and function.

30-Day Money-Back Trial: In addition to your statutory rights, if you cancel within thirty (30) days of the Delivery Date and return the Device and all included accessories in good condition, you will receive a refund of subscription fees paid, less any applicable shipping, packaging, or damage fees.

Nothing in this section limits any other statutory right you may have to cancel or reject the Device under the Consumer Rights Act 2015.

12. Cancellation and Termination

After the Minimum Term, you may cancel at the end of your current billing cycle by notifying Tranquil through our official cancellation process.

When you request cancellation, Tranquil will provide you with a prepaid return label for the Device and all included accessories. You are expected to return the Device within seven (7) days of Tranquil providing the return label. If you do not return the Device within this time, the subscription will continue until the Device is returned.

If the Device and all accessories are not returned within this seven (7) day period, your subscription will automatically resume, and you will continue to be billed until the items are received by Tranquil. If another billing cycle begins before the Device is returned, the applicable subscription fee for that cycle will still be processed.

Tranquil may terminate your subscription at any time for violation of these Rental Terms or applicable law. Upon termination, your rights to use the Device immediately cease, and you must return it in accordance with the Returns section.

12A. Overdue Payments and Non-Return of Device

If your subscription payment becomes overdue and is not resolved within six (6) days of notice from Tranquil, your subscription will be suspended and you will remain responsible for all outstanding subscription fees, VAT, and any other applicable charges under these Rental Terms.

Before suspending any function of the Device, Tranquil will:

  • Provide you with written notice of the payment issue by email;
  • Attempt to contact you using the most recent contact details you have provided; and
  • Allow you a notice period of six (6) days to bring your account current or contact us to make alternative arrangements.

If we do not hear from you or receive payment by the end of the notice period, Tranquil may remotely disable non-emergency functions of the Device, including but not limited to location tracking and carer alert services, until your account is brought current. Tranquil will not disable SOS emergency calling or other core safety features while the Device remains in your possession. Service will be restored promptly once all outstanding amounts are paid.

Your obligation to pay does not end if the Device is returned. Any unpaid amounts will continue to be owed until your account is brought current.

12B. Right to Reinstate

If your subscription payment is overdue, your subscription does not automatically cancel. Instead, Tranquil will provide notice of the overdue payment and allow you a period of time to bring your account current. If you pay the overdue amount within the notice period, your subscription will be reinstated and continue without interruption. If the overdue payment is not resolved, Tranquil may disable non-emergency functions of the Device and require the Device to be returned in accordance with these Rental Terms.

12C. Collections and Recovery Costs

If you fail to pay any amounts owed under these Rental Terms and do not return the Device and accessories as required, Tranquil may refer your account to a debt collection agency. You agree that you will remain liable for all outstanding amounts, including subscription fees, non-return fees, damage or replacement charges, and any applicable VAT. You further agree to be responsible for any reasonable costs of collection incurred by Tranquil, to the maximum extent permitted by law.

13. Use Limitations and Data Protection

The Device must be used in accordance with Tranquil’s instructions and only within the United Kingdom. It may not be used for any unlawful, harmful, or fraudulent purposes.

13A. Location and Personal Data Consent

The Device collects location information and certain personal data in order to provide its tracking and monitoring features. By enrolling in the Programme, you expressly consent to Tranquil collecting, storing, processing, and transmitting such location and personal data as necessary to provide the services associated with the Device, in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and Tranquil’s Privacy Policy and Terms of Use. You acknowledge that the Device’s functionality, including its safety and location tracking features, depends on your subscription remaining active and in good standing.

If subscription payments are not made on time, Tranquil reserves the right to suspend or terminate the Device’s location tracking service until all outstanding amounts are paid in full, in accordance with Section 12A. Such suspension does not relieve you of your obligation to pay the subscription fee and any other amounts due under these Rental Terms.

14. Limitation of Liability

To the maximum extent permitted by law:

  • Tranquil will not be liable for indirect or consequential losses that were not reasonably foreseeable to both parties at the time these Rental Terms were entered into.
  • Total liability for all claims will not exceed the greater of £100 or the total subscription fees you have paid for the Device.
  • Nothing in these Rental Terms excludes or limits Tranquil’s liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable UK law.

15. Dispute Resolution

If a dispute arises, we encourage you to contact Tranquil first through our official customer support channels so we can try to resolve it informally.

If we are unable to resolve your complaint, you may be entitled to refer the matter to a certified Alternative Dispute Resolution (ADR) provider. Details of the applicable ADR scheme, if any, will be provided to you on request or as required by law.

Nothing in these Rental Terms affects your right to bring a claim in the courts of the United Kingdom, and no provision of these Rental Terms limits any right you have as a consumer to do so.

16. Governing Law and Jurisdiction

These Rental Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the law of England and Wales.

You and Tranquil both agree that the courts of England and Wales will have exclusive jurisdiction, except that if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in the courts of your place of residence, and applicable local consumer protection law will apply to those proceedings.

17. Modifications to These Terms

Tranquil may update these Rental Terms at any time. Updates will be communicated in writing or posted on our website, and your continued participation in the Programme after such updates constitutes your acceptance, subject to your statutory rights.

18. Account Holder and Authority to Contract

The person who enrols in the Programme and is responsible for payment (the “Account Holder”) may be a different person from the individual who wears or uses the Device (the “Wearer”).

By enrolling in the Programme, the Account Holder confirms that they are at least 18 years of age and have the legal capacity to enter into this Agreement.

Where the Account Holder is arranging the Device for use by another person, the Account Holder confirms that:

  • they have the Wearer’s consent to arrange the Device on their behalf; or
  • where the Wearer does not have the mental capacity to give such consent, the Account Holder holds appropriate legal authority to act on the Wearer’s behalf (for example, under a registered Lasting Power of Attorney, an Enduring Power of Attorney, or a deputyship order made by the Court of Protection), or is otherwise acting lawfully in the Wearer’s best interests in accordance with the Mental Capacity Act 2005.

The Account Holder remains responsible for all obligations under this Agreement, including payment of all subscription fees and other charges, the care and return of the Device and accessories, and compliance with these Rental Terms, regardless of who wears or uses the Device.

Tranquil is not responsible for verifying the Account Holder’s authority to act on behalf of any Wearer, and relies on the confirmations given by the Account Holder at the time of enrolment.

Nominated Contact and Communications. The Account Holder may nominate an additional person for Tranquil to contact in connection with the Device, including in relation to billing, service issues, faults, and returns. Where an account is set up in the name of the Wearer, or where the contact details provided relate to the Wearer rather than the Account Holder, you acknowledge and agree that Tranquil may contact, and communicate about the Device with, the person whose details are held on the account. It is the Account Holder’s responsibility to keep the account contact details up to date and to ensure that any person named on the account, or nominated as a contact, is an appropriate person for Tranquil to communicate with about the Device. Tranquil will not be responsible where it communicates in good faith with the contact details held on the account, including where those details relate to the Wearer rather than the Account Holder. Nomination of a contact is for communication purposes only and does not, by itself, give the nominated person authority to make decisions about the account or to enter into or vary this Agreement.

19. Events Beyond Our Control (Force Majeure)

Tranquil will not be liable for any failure or delay in performing its obligations under these Rental Terms where such failure or delay results from events, circumstances, or causes beyond its reasonable control. This includes (but is not limited to) failures or interruptions of mobile, telecommunications, GPS, or internet networks; power failures; failures of third-party suppliers or service providers; acts of God; fire, flood, or severe weather; epidemic or pandemic; strikes or other industrial action; and acts of government or regulatory authority.

If such an event occurs, Tranquil will take reasonable steps to minimise the effect of the delay or failure and to resume performance as soon as reasonably practicable. Nothing in this section limits or excludes any liability that cannot be limited or excluded under applicable law, or affects your statutory rights.

20. Assignment and Transfer

You may not assign, transfer, sub-let, or otherwise deal in your rights or obligations under these Rental Terms, or allow any other person to use the Device in your place, without Tranquil’s prior written consent.

Tranquil may transfer its rights and obligations under these Rental Terms to another organisation. If we do so, we will tell you in writing, and this will not affect your rights or our obligations under these Rental Terms.

21. Severability

Each of the provisions of these Rental Terms operates separately. If any court or competent authority decides that any provision is unlawful, invalid, or unenforceable, the remaining provisions will remain in full force and effect. Where any provision is found to be unlawful, invalid, or unenforceable but would be lawful, valid, or enforceable if part of it were deleted or modified, that provision will apply with the minimum modification necessary to make it lawful, valid, and enforceable.
